Item 1.01 Regulation FD Disclosure.

On June 27, 2017, Oceaneering International, Inc. ("Oceaneering" or "we") entered into Agreement and Amendment No. 3 to Credit Agreement ("Amendment No. 3") to our credit agreement dated as of October 27, 2014 (as previously amended, the "Credit Agreement") with Wells Fargo Bank, National Association, as administrative agent and swing line lender, and specified other financial institutions, as lenders (the "Lenders"). The Credit Agreement originally provided for a $300 million three-year term loan (the "Term Loan Facility") and a $500 million five-year revolving credit facility (the "Revolving Credit Facility").

Amendment No. 3 amended the Credit Agreement to extend the maturities of the Revolving Credit Facility and the Term Loan Facility to October 25, 2021 and October 25, 2019, respectively, with an extending Lender representing 10% of the existing commitments of the Lenders, such that (1) the total commitments for the Revolving Credit Facility are $500 million until October 25, 2021 and (2) the outstanding term loan maturities pursuant to the Term Loan Facility are $300 million until October 25, 2019.
