Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(c) On June 26, 2017, Valmont Industries, Inc. announced that effective December 31, 2017, the first day of Valmont’s fiscal 2018, Stephen G. Kaniewski will become President and Chief Executive Officer of Valmont, and that Mogens C. Bay will become Executive Chairman of the Board of Directors of Valmont. Mr. Bay, age 68, has been Chairman and Chief Executive Officer of Valmont since January 1997. Mr. Kaniewski, age 45, has been President and Chief Operating Officer of Valmont since October 2016. Prior to that, he was Group President of Valmont’s Utility Support Structures Segment. He joined Valmont in August 2010 as Vice President, Information Technology and also has held the position of Vice President, Global Operations for the Irrigation Segment.
