Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 5, 2017, Mark Leventhal resigned from the board of directors of ProPhase Labs, Inc. (the “Company”), effective immediately. Mr. Leventhal’s decision to resign was not the result of any disagreements with the Company regarding its operations, policies, practices or otherwise.
