Explanatory Note

Amendment No. 1 on Form 6-K of GenOil, Inc. as originally filed with the Securities and Exchange Commission (SEC) on May 15, 2017. This Form 6-K/A amends the original filing solely for the purpose of correcting the period of report to reflect March 31, 2017. Except as described previously, no other changes have been made to the original filing.
