(1)  These transactions reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on March 13, 2017.
(2)  Represents the weighted average sale price per share. These shares were sold in multiple transactions at prices ranging from a low of $86.30 to a high of $87.29. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price.
(3)  Represents the weighted average sale price per share. These shares were sold in multiple transactions at prices ranging from a low of $87.30 to a high of $88.25. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price.
(4)  The option vests in substantially equal installments at the end of each three-month period through February 17, 2019. The first installment became exercisable on May 17, 2016.
