Explanation of Responses:
(1)  On April 1, 2017, the issuer granted to Mr. Ergen an option to purchase 1.1 million shares of Class A common stock as disclosed in the Form 4 filed by Mr. Ergen on April 4, 2017. Mr. Ergen has forfeited a portion of this option pro-rata across all vesting tranches.
(2)  The shares underlying the option vest at the rate of 20% per year, commencing on April 1, 2018, if Mr. Ergen is Chairman of the Board of Directors of the issuer on each vesting date.
