Item 2.02 Results of Operations and Financial Condition.

On April 25, 2017, Zix Corporation issued a press release announcing financial results for the first quarter ending March 31, 2017. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K. In accordance with General Instruction B.2 of Form 8-K, the information set forth in this Item 2.02 and in the attached Exhibit 99.1 are deemed to be “furnished” and shall not be deemed to be “filed” for purposes of the Securities Exchange Act of 1934, as amended.

Item 8.01 Other Events.

On April 25, 2017, Zix Corporation issued a press release announcing that its Board of Directors had authorized on April 24, 2017 a program to repurchase up to $10 million of its shares of common stock from time to time in the open market. A copy of the press release is submitted herewith as Exhibit 99.2.
