(1)  Received in exchange for 329,423 shares of Cardinal Financial Corporation (CFNL) common stock in connection with merger of CFNL into United Bankshares, Inc. (the "Merger"). Holders of CFNL common stock received 0.71 shares of United Bankshares, Inc. Common stock in exchange for each share of CFNL common stock held immediately prior to the merger.
(2)  Received in the Merger in exchange for a stock option to acquire 1,667 shares of CFNL common stock for $19.18 per share.
