Item 3.02 Unregistered Sales of Equity Securities.

On April 10, 2017, Rightscorp, Inc. (the “Company”) issued an aggregate of 7,940,227 shares of common stock to employees for services.

In connection with the foregoing, the Company relied upon the exemption from registration provided by Section 4(a)(2) under the Securities Act of 1933, as amended, for transactions not involving a public offering.
