Item 8.01 Other Events.

On April 6, 2017, Nutraceutical International Corporation (“Nutraceutical”) announced that it has acquired substantially all the assets associated with the Zhou Nutrition brand from Branson Books, LLC. The purchase price was approximately $19.7 million in cash. The press release reporting this announcement is attached to this Form 8-K as Exhibit 99.1 and is incorporated by reference herein.
