The shares of common stock of Middleburg Financial Corporation ("Middleburg") were disposed of pursuant to the Agreement and Plan of Reorganization, dated as of October 21, 2016, between Access National Corporation ("Access") and Middleburg, pursuant to which Middleburg will merge with and into Access. The reporting person acquired 1.3314 shares of Access National Corporation in exchange for each share of common stock of Middleburg in the transaction.
