(b) On March 14, 2017, Wendy Teramoto, a member of the Board of Directors of The Greenbrier Companies, Inc. (the “Company”) since 2009, resigned from her position as a member of the Board of Directors effective March 31, 2017. Ms. Teramoto’s decision to resign from the Board of Directors did not arise or result from any disagreement with the Company on any matters relating to the Company’s operations, policies or practices.
