(the "Company") completed the previously announced public offering of $1,065,000,000 aggregate principal amount of 4.20% Notes due 2047 (the "Notes"), pursuant to the subscription agreement dated February 24, 2017 among the Company, BNP Paribas, Taipei Branch and Deutsche Bank AG, Taipei Branch, as managers.

The offering of the Notes was made pursuant to the Company's shelf registration statement on Form S-3 (Registration No. 333-202430) filed with the Securities and Exchange Commission on March 2, 2015.

The Notes were issued pursuant to an indenture, dated as of January 30, 2001, between the Company and The Bank of New York Mellon (formerly known as The Bank of New York), as successor to JPMorgan Chase Bank (formerly known as The Chase Manhattan Bank), as trustee, as supplemented by the eighth supplemental indenture, dated as of March 17, 2017, among the Company and The Bank of New York Mellon, as trustee and The Bank of New York Mellon, London Branch, as paying agent (the "Eighth Supplemental Indenture").

The Eighth Supplemental Indenture is filed herewith as Exhibit 4.2 to this Form 8-K and is incorporated herein by reference.
