This transaction represents the withholding of shares to pay tax withholding obligations associated with the vesting of the restricted stock award granted on February 17, 2016. The restricted stock vests in three equal annual installments beginning on February 17, 2017, pursuant to an employment agreement dated December 31, 2015 by and between the Reporting Person and United Continental Holdings, Inc. and United Airlines, Inc.
