ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS.

On February 7, 2017, Steve Vande Loo (“Mr. Vande Loo”) resigned from his position as a member of the Board of Directors of the Company. Mr. Vande Loo’s resignation did not involve any disagreement with the Company on any matter relating to the Company's operations, policies, practices, or otherwise.
