Item 8.01. Other Events.

On February 14, 2017, OSI Systems, Inc. (the “Company”), issued a press release announcing its intention to offer, subject to market and other conditions, $225 million principal amount of Convertible Senior Notes due in 2022 in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. In addition, the Company expects to grant the initial purchasers for the offering an option to purchase up to an additional $33.75 million principal amount of notes from the Company to cover over-allotments. A copy of the press release is attached hereto as Exhibit 99.1 and is also incorporated herein by reference.
