Results of Operations and Financial Condition.

On February 9, 2017, Mercer International Inc. (the “Company”) announced by press release the Company’s results for its fourth quarter and year ended December 31, 2016. A copy of the Company’s press release is furnished as Exhibit 99.1 to this Current Report.

Other Events.

On February 9, 2017, the Company announced by press release that a quarterly cash dividend of $0.115 per share will be paid on April 4, 2017 to all shareholders of record on March 28, 2017. A copy of the Company’s press release is furnished as Exhibit 99.1 to this Current Report.
