Item 2.02 Results of Operations and Financial Condition.

On February 8, 2017, New Jersey Resources Corporation (“NJR”) issued a press release reporting financial results for the first fiscal quarter ended December 31, 2016 (the “Press Release”). A copy of the Press Release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
