Item 8.01 Other Events.

On January 25, 2017, Access National Corporation (the “Company”), holding company for Access National Bank, issued a joint press release announcing the hiring by Middleburg Financial Corporation (“Middleburg”), holding company for Middleburg Bank, of David J. Leudemann as Executive Vice President, Market Executive for Middleburg Bank.  A copy of the joint press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.

About the Proposed Transaction and Where to Find It

As previously disclosed, Access and Middleburg have entered into an Agreement and Plan of Reorganization (the "Merger Agreement") pursuant to which Middleburg will merge with and into Access (the "Merger"). Access will be the surviving corporation in the Merger.
