( 1)  The option exercise and sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan previously adopted by the reporting person in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934.
( 2)  Includes 233 shares of common stock acquired under the issuer's employee stock purchase plan in December 2016.
( 3)  The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $37.75 to $38.70, inclusive.
