Explanation of Responses:
( 1)  Acquired on February 19, 2016 pursuant to the Agreement and Plan of Merger between the Issuer and Plum Creek Timber Company, Inc. ("Plum Creek") dated as of November 6, 2015, whereby each share of Plum Creek common stock was converted into 1.6 common shares of the Issuer, with fractional shares paid in cash. The closing price of the Issuer's common shares on February 19, 2016 was $22.87.
