Explanation of Responses:
( 1)  These shares of common stock represent restricted share units granted pursuant to a Restricted Share Unit Agreement between Mr. Pepe and the Issuer and are subject to forfeiture. The restricted share units awarded vest in seven installments of 2,395 shares on each of the following dates: March 31, 2017, June 30, 2017, September 30, 2017, December 31, 2017, March 31, 2018, June 30, 2018, and September 30, 2018; and one installment of 2,400 shares on December 31, 2018.
( 2)  These restricted share units were granted to Mr. Pepe for his services as the Chief Financial Officer of the Issuer.
