( 1)  Represents shares underlying restricted stock units ("RSUs"). The RSUs will vest with respect to 25% of the underlying shares on November 15, 2017, and with respect to an additional 6.25% of the underlying shares every three months thereafter, in each case subject to the Reporting Person's continued service through the applicable vesting date.
