ERHC Energy, Inc. (the “Registrant”) filed a Current Report on Form 8-K with the Securities and Exchange Commission (the “SEC”) on December 7, 2016 disclosing that On December 03, 2016, the Registrant’s audit committee approved the disengagement of MaloneBailey, LLP (“MB”) as the registered independent public accountant and the appointment of M&K CPAS, PLLC (“M&K”) as the Registrant’s registered independent public accounting firm as of December 04, 2016. The audit committee acted on the recommendation of the Company’s management after the Company failed to reach an agreement with MB on remuneration payable for MB continuing to act as the Company’s independent registered public accountant.

Registrant is delayed in filing the SEC report indicated in this Form as a result of time constraint from the recent appointment of M&K as the Registrant’s registered independent public accounting firm. The Registrant and M&K are working diligently to complete the filing.
