Item 8.01 Other Events.

On December 15, 2016, Monolithic Power Systems, Inc. issued a press release announcing the fourth quarter cash dividend of $0.20 per share to all stockholders of record as of the close of business on December 30, 2016. The dividend will be paid to stockholders on January 13, 2017 . A copy of the press release is attached hereto as Exhibit 99.1.
