Item 8.01. Other Events.

On December 12, 2016, Pioneer Energy Services Corp. (the “ Company ”) issued a press release announcing the closing of its previously announced underwritten public offering of 12,075,000 shares of common stock of the Company, which included 1,575,000 shares of common stock sold to the underwriters pursuant to the full exercise of the underwriters’ option to purchase additional shares.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
