Item 8.01. Other Events.

On December 6, 2016, Consolidated Communications Holdings, Inc. (the “Company”) issued a press release announcing that it has entered a definitive agreement with ePlus Technology inc. (“ePlus”), and closed on the sale of the Company’s Enterprise Services equipment and IT Services business to ePlus, and as part of this transaction, the Company has entered into a strategic partnership with ePlus to cross-sell both broadband network services and IT Services. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
