Item 2.02.

Results of Operations and Financial Condition.

On November 22, 2016, Nimble Storage, Inc. (the “Company”) announced its financial results for its fiscal third quarter ended October 31, 2016. The press release attached hereto as Exhibit 99.1 and the Letter to Shareholders attached hereto as Exhibit 99.2 disclose certain non-GAAP financial measures. A reconciliation to the nearest comparable GAAP equivalent of these non-GAAP measures is contained in tabular form in Exhibits 99.1 and 99.2.
