This Form 3 is being filed to reflect that German American Capital Corporation has elected to exchange all of its units of limited liability company interest in Station Holdco LLC and all of its shares of the Issuer's Class B common stock into shares of Class A common stock of the Issuer pursuant to the Exchange Agreement entered into in connection with the Issuer's initial public offering. The number of shares of Class A common stock represented above is the number of shares that were issued upon such exchange. German American Capital Corporation has sold all such shares of Class A common stock.
