Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 7, 2016, Kyle S. Macemore resigned as Senior Vice President and Chief Financial Officer of Charles & Colvard, Ltd. (the “Company”), effective December 2, 2016, to accept a position with another company. The Company is planning to immediately commence a search for a new Chief Financial Officer.
