The Company needs additional time to prepare its financial statements for the fiscal year ended July 31, 2016. Specifically, additional time is necessary to finalize operating results for the Company’s South American subsidiaries for the fiscal year ended July 31, 2016.

Significant Change in Operations for the Fiscal Year Ended July 31, 2016

The Company expects to report a significant reduction in net income from its South American operations for the fiscal year ended July 31, 2016. A reasonable estimate of the reduction in net income from South American operations cannot be made because the financial statements for certain South American subsidiaries are not complete.
