Item 8.01 Other Events.

 

On October 21, 2016, Overseas Shipholding Group, Inc. issued a press release announcing that its Board of Directors has approved the previously announced plan to separate its international and domestic businesses into two independent, publicly traded companies: Overseas Shipholding Group, Inc. and International Seaways, Inc. (formerly known as OSG International, Inc.).

 

A copy of the press release is attached hereto as Exhibit 99.1.
