Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 19, 2016, our Board of Directors (“Board”), upon recommendation of the Remuneration Committee, increased the annual base salary of Mr. Philip Belamant, our Managing Director: ZAZOO, to £221,266.56, effective October 1, 2016. The Board also agreed to continue the tax equalization program under which we will reimburse him, in cash, for any additional taxes paid as a result of his residence in the UK. Finally, we have agreed to reimburse Mr. P.M. Belamant and his spouse for two economy class seats each per calendar year between South Africa and the UK.
