Item 5.03 AMENDMENT TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR.

On September 8, 2016, the Board of Directors of UQM Technologies, Inc. approved changing UQM’s fiscal year to end on December 31 of each year, starting on December 31, 2016, making the current fiscal year begin on April 1, 2016 and end on December 31, 2016, with the following fiscal year beginning January 1, 2017 and ending on December 31, 2017. A Form 10-K will be filed for the transaction period from April 1, 2016 to December 31, 2016.
