This Current
Report on Form 8-K and the press release attached hereto are being furnished by Real Goods Solar, Inc. (the "Company")
pursuant to Item 2.02, "Results of Operations and Financial Condition." On August 15, 2016, the Company issued a press
release describing the Company's filing on Securities and Exchange Commission ("SEC") Form 12b-25 for an extension of time in
which to file the Company's quarterly report on SEC Form 10-Q for six months ended June 30, 2016. Both the Company's filing
on Form 12b-25 and the Company's press release contain certain preliminary information about the Company's results of
operations for the three and six months ended June 30, 2016.
