Item 8.01 Other Events

Effective August 11, 2016, Key Energy Services, Inc. (“Key”) entered into a settlement agreement with the Securities and Exchange Commission (the “SEC”) resolving the SEC’s investigation into possible violations of the Foreign Corrupt Practices Act (“FCPA”) by Key or its subsidiaries. Pursuant to the settlement, Key has agreed to pay disgorgement of $5 million and to cease and desist from committing or causing any violations of the books and records and internal controls provisions of the FCPA. Key neither admitted nor denied any of the SEC’s allegations, except as to jurisdiction. Key accrued a liability for the payment in the first quarter of 2016.
