This Schedule 14D-9 filing consists of the following communications related to the proposed acquisition of Outerwall Inc., a Delaware corporation (the “Company”) by Aspen Parent, Inc., a Delaware corporation (“Parent”), Aspen Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent (“Outerwall Merger Sub”) and Redwood Merger Sub, Inc. a Delaware corporation and wholly owned subsidiary of Parent (“Redbox Merger Sub”), pursuant to the terms of the Agreement and Plan of Merger dated July 24, 2016, among Parent, Outerwall Merger Sub, Redbox Merger Sub, the Company and Redbox Automated Retail, LLC, a Delaware limited liability company and wholly owned subsidiary of the Company.
