Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements for Certain Officers

As previously reported in a Form 8-K Report dated June 23, 2016, Registrant announced that Jeffrey Jacobson will become Chief Executive Officer of Xerox Corporation following completion of its separation into two independent, publicly-traded companies. Compensation arrangements for Mr. Jacobson as Chief Executive Officer had not been determined at the time of the announcement.

On July 19, 2016, the Compensation Committee of Registrant’s Board of Directors approved the following compensation for Mr. Jacobson, effective upon separation of the Company and his assuming the role of Chief Executive Officer:

 

Annual Base Salary:

   $1 million

Target Short-Term Incentive Award Opportunity under Annual Performance Incentive Plan:

   150% of Annual Base Salary

Target Long-Term Incentive Award Opportunity under Executive Long-Term Incentive Program:

   $6.5 million
