Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 15, 2016, the Board of Directors of NxStage Medical, Inc. ("NxStage") elected Heyward R. Donigan to serve as a director. In connection with her election to the Board of Directors, Ms. Donigan will (1) receive an annual retainer of $40,000, (2) be awarded an option to purchase 14,366 shares of NxStage common stock with a per share exercise price of $21.73 and seven year term, vesting monthly over three years, under NxStage's 2014 Omnibus Incentive Plan, and (3) enter into NxStage's form of indemnification agreement for directors.
