Item 7.01. Regulation FD Disclosure.

On June 3, 2016, Liberty Star Uranium & Metals Corp. (the “Company”) issued a press release announcing that it will conduct a private placement of its securities. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
