Item 1.01

Entry into a Material Definitive Agreement.

Effective May 10, 2016, TD Ameritrade Services Company, Inc., an indirect and wholly owned subsidiary of TD Ameritrade Holding Corporation, entered into a construction agreement (the “Agreement”) with AP Gulf States Inc., to construct TD Ameritrade’s Regional Business Center in Southlake, Texas.

The Agreement contains customary terms and conditions addressing project responsibilities and establishes a price up to approximately $125 million for the core and shell building work. Completion of the work to be performed under the Agreement is expected by November 2017.

The foregoing description of the Agreement is qualified in its entirety by reference to the complete terms and conditions of the Agreement, a copy of which is attached hereto as Exhibit 10.1 and incorporated by reference herein.
