Item 2.02

Results of Operations and Financial Condition.

On May 9, 2016, Neuralstem, Inc. (the “Company”) issued a press release announcing its financial results for the three months ended March 31, 2016 and providing a business and clinical programs update. The press release is attached hereto as Exhibit 99.01 and is incorporated herein by reference.

On May 12, 2016, the Company announced that the first patient has been enrolled in the double-blind, placebo-controlled multi-center Phase 2 study of NSI-189 for the treatment of major depressive disorder. A copy of the press release is attached to this report as Exhibit 99.02.
