Prime Security Services Borrower, LLC (“Prime” and, together with its subsidiaries, “Protection 1”), a portfolio company of certain funds affiliated with Apollo Global Management, LLC (NYSE:APO) (together with its consolidated subsidiaries and affiliates, “Apollo”), announced today that The ADT Corporation (NYSE:ADT) (“ADT”) has filed Form 12b-25 with the Securities and Exchange Commission (the “SEC”), to avail itself of a filing extension for its quarterly report on Form 10-Q for the fiscal quarter ended March 31, 2016 (the “Second Quarter 10-Q”), which would have otherwise been due on May 10, 2016 (the “Filing Date”).

As previously announced, on May 2, 2016, a wholly owned subsidiary of Prime merged (the “Merger”) with and into ADT, with ADT surviving the merger as a wholly owned subsidiary of Prime. As a result of the closing of the Merger, Protection 1 requires additional time to complete its review of the Second Quarter 10-Q prior to filing. In connection with the Merger, a Form 25 was filed with the SEC in respect of the delisting and deregistration of the common stock of ADT.  In addition, in connection with the Merger, ADT expects that it will file with the SEC a Form 15 to deregister its common stock under Section 12(g) of the Securities Exchange Act of 1934 on or about May 12, 2016.
