EXPLANATORY NOTE

On May 3, 2016, Telenav, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original Form 8-K”) to report financial results for the three months and nine months ended March 31, 2016, as well as provide guidance for the fourth quarter ending June 30, 2016. The Original Form 8-K incorrectly stated the non-GAAP operating expenses. This Form 8-K/A restates Exhibit 99.1 in its entirety.
