MATERIAL FACT

REVIEW OF COMPANY’S MANAGEMENT COMPOSITION

TIM PARTICIPAÇÕES S.A. (“Company”) (BM&FBOVESPA: TIMP3; NYSE: TSU), with regard to the news flow on a possible change of management of the Company, informs that it has been advised by its indirect controller, Telecom Italia SpA., that the matter is currently being reviewed. The Company informs that the appointment of the Officers and of the Chief Executive Officer of the Company, whose current statutory term of office has expired, shall be addressed at a forthcoming meeting of the Board of Directors of the Company, scheduled for May 11, 2016.
