Mr. Alan G. Quasha has been appointed to serve as Director and Chairman of the Board of ARC Group Worldwide, Inc. ("ARC"), effective March 31, 2016. Mr. Quasha is a contingent beneficiary of a trust that owns Everest Hill Group Inc. ("Everest Hill"). Everest Hill owns 9,068,122 shares of ARC common stock. Mr. Quasha does not directly or indirectly have any power to vote the shares of ARC owned by Everest Hill and he does not directly or indirectly have any power, authority or control over disposition of any shares of ARC owned by Everest Hill. Mr. Quasha is therefore not deemed to be a beneficial owner of any stock owned by Everest Hill under Section 13(d) or Section 16 of the Securities Exchange Act of 1934, as amended, and the rules rules and regulations promulgated thereunder.
