(d) Election of New Director.

On January 28, 2016, the Board of Directors (the “Board”) of InterDigital, Inc. (the “Company”), upon the recommendation of the Nominating and Corporate Governance Committee of the Board, appointed Philip P. Trahanas, a former Managing Director at General Atlantic LLC, a global growth equity firm, as a new director effective February 1, 2016. Mr. Trahanas' Board committee assignments have not yet been determined. A copy of the Company’s press release announcing the appointment of Mr. Trahanas is attached hereto as Exhibit 99.1.

Mr. Trahanas will be compensated in accordance with the Company’s compensation program for non-management directors, as described in Exhibit 10.2 to the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2015 filed with the Securities and Exchange Commission on July 30, 2015. Accordingly, on February 1, 2016, he received an initial election award of 3,256 restricted stock units, which vest in full on the first anniversary of the grant date, and a prorated award of 1,167 restricted stock units, which vest in full on June 10, 2016, for his partial service during the 2015 - 2016 Board year.

INTERDIGITAL ADDS PHILIP TRAHANAS TO BOARD OF DIRECTORS

WILMINGTON, DEL. - February 1, 2016 -InterDigital, Inc. (NASDAQ:IDCC), a mobile technology research and development company, today announced the appointment of Philip Trahanas to the company's Board of Directors. Mr. Trahanas brings two decades of broad investment and board leadership experience with an emphasis in the technology field supported by his background in engineering.

Most recently, until the end of 2014, Mr. Trahanas was a Managing Director at General Atlantic LLC, a leading global private equity firm with over $17 billion in assets under management and a significant focus in technology and related industry investments. At General Atlantic, he served as a senior investment leader during a significant growth phase of the firm’s history, and sat on the boards of directors of a range of public and private portfolio companies.

He holds both a Master of Science in Engineering and an MBA from the University of Pennsylvania (completed concurrently) and a Bachelor of Engineering in Electrical Engineering from The Cooper Union for the Advancement of Science & Art in New York. He has also served on the board of directors of QTS Realty Trust, Inc. (NYSE: QTS) since 2009.
