Explanation of Responses:
( 1)	These shares are held in the name of Chasin, LLC, a Delaware limited liability company (4,300,000 shares), Team AJ, LLC, a North Carolina limited liability company (17,136,824 shares), AF Trust Company, a Florida corporation (11,275,096 shares), and Kaptiva Group, LLC, a Florida limited liability company (3,197,405 shares). Mr. Acunto controls the voting power and investment power of the shares owned by each of these companies.
( 2)	Mr. Acunto owns 915 shares of Series A preferred stock, which is convertible, at his option, at any time into the number of fully paid and non-assessable shares of common stock as determined by dividing 1,000 by the amount that is a 10% discount to the average of the closing price per share of the common stock on the exchange in which the common stock is traded over the 10 trading day period ending immediately prior to the conversion date. The Series A preferred stock has no expiration date for excercise.
( 3)	These shares are held in the name of Team AJ, LLC. Mr. Acunto, the managing member, controls the voting power and investment power of these shares.
