Item 4.02 Non-Reliance on Previously Issued Financial Statements or a Related Audit Report or Completed Interim Review.

 

On November 27, 2015, the board of directors of MedeFile International, Inc. (the “Company”), concluded that the Company’s previously issued financial statements, for the periods ended March 31, 2015 and June 30, 2015, should no longer be relied upon because of an error in such financial statements. Specifically, the Company did not account for a derivative under a convertible note in accordance with Accounting Standards Codification (ASC) 815, Derivatives and Hedging, in these financial statements. The Company expects to file its restated financial statements for the periods ended March 31, 2015 and June 30, 2015 as soon as practicable. Niquana Noel, the Company’s chief executive officer, has discussed this matter with the Company’s independent accountant.
