Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

	(a)	Effective November 27th, 2015, the Company appointed Haden Kirkpatrick as the Chief Operating Officer and as a Director to the Company. The appointment of Haden Kirkpatrick as the Company's Chief Operating Officer and as a Director was not based on any prior understanding or arrangement.

	(b)	Effective November 27th, 2015, the Company has accepted the resignation of Lawrence Chan for personal reasons as Chief Operating Officer and as a Director. The resignation of Lawrence Chan as the Company's Chief Operating Officer and as a Director was not based on any prior understanding or arrangement.

There are no transactions between Mr. Kirkpatrick and the Company that are reportable under Item 404(a) of Regulation S-K.
